Terms of Service

These Terms of Service (“Terms”) govern your use of the Dibs mobile app, the website at getdibs.app, and any related services (collectively, the “Service”) operated by Catalyst AI Consulting Inc. (“we,” “us,” or “Dibs”).

By using Dibs, you agree to these Terms. If you do not agree, do not use the Service.

1. What Dibs Is (and Isn’t)

Dibs is a bill-splitting coordination tool. Hosts scan a restaurant receipt, invite friends via SMS, and friends claim items on a web page. Payments happen through third-party services like Venmo, Zelle, or CashApp.

Dibs does not process, hold, or transmit any money. We generate deep links to third-party payment apps. The host manually confirms when payments are received. We are not a payment processor, money transmitter, or financial institution. Any payment disputes are between you and the relevant payment service.

2. Eligibility

You must be at least 18 years old to use Dibs. By using the Service, you represent that you meet this requirement.

3. Accounts

Hosts create accounts through Apple, Google, or email sign-in. You are responsible for maintaining the security of your account credentials.

Claimers do not need accounts. Claimers access the Service through one-time SMS links and are identified by their name and phone number for the duration of a tab.

4. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Submit fraudulent receipt data or falsify payment confirmations
  • Harass, spam, or abuse other users through the Service
  • Attempt to access other users’ accounts or data
  • Reverse engineer, decompile, or attempt to extract the source code of the Service
  • Use automated systems (bots, scrapers) to access the Service
  • Interfere with or disrupt the Service or its infrastructure

We may suspend or terminate your account at any time if we believe you have violated these Terms.

5. User Content and Data License

When you upload receipt images, submit corrections to parsed data, or otherwise provide content to the Service (“User Content”), you retain ownership of that content.

However, you grant us a worldwide, non-exclusive, royalty-free, sublicensable license to use, reproduce, modify, and process your User Content for the purposes of:

  • Operating and providing the Service
  • Improving our receipt parsing and OCR accuracy (using receipt images, extracted text, and your corrections as training data)
  • Generating anonymized, aggregated statistics

This license survives account deletion only for data that has already been incorporated into aggregated or anonymized datasets. Identifiable data is deleted per our Privacy Policy.

6. Accuracy and Responsibility

Receipt scanning uses on-device optical character recognition. It is not perfect. You are responsible for reviewing and correcting parsed receipt data before sharing a tab with your friends.

Hosts are responsible for accurately confirming payments. We have no visibility into whether a payment was actually made on Venmo, Zelle, CashApp, or any other platform.

7. Intellectual Property

The Service, including its design, code, branding, and content (excluding User Content), is owned by Catalyst AI Consulting Inc. and protected by applicable intellectual property laws. “Dibs” is our trademark. You may not use our name, logo, or branding without prior written permission.

8. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or that OCR results will be accurate. We disclaim all warranties including merchantability, fitness for a particular purpose, and non-infringement.

9. Limitation of Liability

To the maximum extent permitted by law, Catalyst AI Consulting Inc., its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.

Our total liability for any claim arising from or related to these Terms or the Service is limited to the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) $100. Since the Service is currently free, this effectively limits our liability to $100.

10. Indemnification

You agree to indemnify and hold harmless Catalyst AI Consulting Inc. from any claims, damages, or expenses (including reasonable attorneys’ fees) arising from your use of the Service, your violation of these Terms, or any dispute between you and another user regarding payments.

11. Third-Party Services

Dibs integrates with third-party payment apps (Venmo, Zelle, CashApp) and authentication providers (Apple, Google). We are not responsible for the availability, terms, or privacy practices of those services. Your use of third-party services is governed by their respective terms.

12. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you through the app or by email at least 30 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

13. Termination

You may stop using Dibs at any time. Hosts can delete their account in Settings → Delete Account. We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice.

Sections 5 (Data License), 8 (Disclaimer), 9 (Limitation of Liability), 10 (Indemnification), and 14 (Governing Law) survive termination.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-law principles. Any disputes arising from these Terms or the Service shall be resolved in the state or federal courts located in New York County, New York, and you consent to the personal jurisdiction of those courts.

15. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions remain in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Catalyst AI Consulting Inc. regarding the Service.
